Subscription Agreement

Plans, billing, trials, cancellation, and refund terms for your AestheticOS subscription.

1. Overview

This Subscription Agreement ("Agreement") sets out the terms governing your subscription to the AestheticOS platform. It supplements the Terms of Service and should be read together with the Payment Terms.

By subscribing to the Platform, you agree to the terms set out in this Agreement. All prices are in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated.

2. Subscription Plans

The Platform offers the following subscription tiers:

Starter — $149/month (excl. GST)

  • White-labelled clinic portal with custom subdomain
  • Treatment and product catalogue
  • Online booking system
  • Enquiry management
  • Blog and content tools
  • E-commerce via Stripe Connect (5% platform fee)
  • Email support

Professional — $299/month (excl. GST)

  • Everything in Starter, plus:
  • AI Studio — AI-assisted content generation
  • Advanced analytics and reporting
  • Priority email support
  • Reduced Stripe Connect platform fee (4%)

Enterprise — $599/month (excl. GST)

  • Everything in Professional, plus:
  • Multi-location support
  • Custom domain (e.g., your own .com.au)
  • Marketing automation tools
  • Dedicated account manager
  • Lowest Stripe Connect platform fee (3%)

Feature availability is subject to development status. Some features listed above may be introduced progressively. We will notify you when new features become available on your plan.

3. Free Trial

New Tenants receive a 30-day free trial upon registration. During the free trial:

  • You have access to all features available on the Starter plan
  • No credit card is required to start the trial
  • Your clinic portal is fully functional, including booking and e-commerce features
  • You must select a subscription plan and enter payment details before the trial expires to continue using the Platform

If you do not subscribe before the trial ends, your clinic portal will be suspended (taken offline). Your data will be retained for 90 days, during which you can reactivate by subscribing. After 90 days, your data will be deleted.

4. Pilot Programme

During the Platform's pilot phase, we may offer modified subscription terms to early adopters ("Pilot Tenants"). Pilot terms may include:

  • Extended free trial periods
  • Discounted subscription rates for an agreed period
  • Access to features still in development or beta
  • Direct feedback channels with the development team

Pilot terms will be documented in writing (email or separate agreement) and will override the standard terms in this Agreement for the agreed period. At the conclusion of the pilot period, standard pricing and terms will apply unless otherwise agreed.

5. Billing

  • Subscriptions are billed monthly in advance on the same date each month (your "billing date")
  • Payment is processed via Stripe using the payment method on file
  • If payment fails, we will retry up to 3 times over 7 days before suspending your account
  • You will receive an invoice by email for each payment
  • We reserve the right to change pricing with at least 30 days' written notice. Price changes will take effect at the start of your next billing period after the notice period

6. Platform Availability

We aspire to maintain Platform availability of 99.5% measured on a monthly basis, excluding scheduled maintenance.

This is an aspirational target, not a guaranteed service level agreement (SLA). We do not offer service credits or compensation for downtime. We will use reasonable endeavours to:

  • Minimise unplanned downtime
  • Schedule maintenance during off-peak hours (typically between 2:00 AM and 6:00 AM AEST)
  • Provide advance notice of planned maintenance where practicable

7. Changing Plans

Upgrades:

  • You can upgrade your plan at any time through your account settings
  • Upgrades take effect immediately
  • You will be charged a pro-rated amount for the remainder of your current billing period, calculated based on the price difference between your current and new plan
  • Your billing date remains the same

Downgrades:

  • You can downgrade your plan at any time through your account settings
  • Downgrades take effect at the end of your current billing period
  • You will retain access to your current plan's features until the end of the billing period
  • Features not available on the lower plan will become inaccessible after the downgrade takes effect
  • Content created using higher-tier features (e.g., AI-generated blog posts) will remain on your portal but you will not be able to create new content using those features

8. Cancellation

You may cancel your subscription at any time by:

  • Using the cancellation option in your account settings, or
  • Contacting us at [email protected]

Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • Your clinic portal will be taken offline at the end of the billing period
  • You will have 30 days after the end of your billing period to request a data export (see Terms of Service, Section 11)
  • Your data will be deleted 90 days after the end of your billing period, subject to any legal retention obligations

Cancellation does not affect any outstanding obligations, including fees already due.

9. Refunds

14-Day Refund — First Billing Period Only:

  • If you are a new subscriber (not a returning customer), you may request a full refund within 14 days of your first subscription payment
  • To request a refund, contact [email protected] within the 14-day period
  • Your account will be deactivated upon refund

General Refund Policy:

  • After the 14-day period, subscription fees are non-refundable
  • We do not provide pro-rated refunds for partial billing periods
  • If we terminate your account for cause (breach of Terms), no refund is provided
  • If we terminate your account without cause, we will refund any pre-paid subscription fees for the unused portion of the billing period

Nothing in this refund policy limits your rights under Australian Consumer Law. If you believe a service has not been provided as described, please contact us.

10. Suspension for Non-Payment

If your subscription payment fails:

  • Day 1–7: We will retry the payment up to 3 times and notify you by email of the failed payment
  • Day 8: If payment has not been resolved, your clinic portal will be suspended (taken offline). Your admin dashboard will remain accessible so you can update your payment method
  • Day 30: If payment remains unresolved for 30 days after the original due date, we may terminate your account. You will still have 30 days to request a data export

Your portal will be reactivated promptly once payment is successfully processed.

11. GST

All prices displayed on the Platform are exclusive of GST unless explicitly stated otherwise.

NUYU Clinic Pty Ltd is registered for GST. GST will be added to your subscription fee at the applicable rate (currently 10%). Your Stripe invoice will show the subscription amount, GST component, and total amount.

If you require a tax invoice for your records, invoices are available through your Stripe billing portal, accessible from your account settings.
